2. Scope and acceptance

1. These terms apply to www.verdan.tech, its subdomains (including aeo-audits.verdan.tech and score.verdan.tech) and the free tools, scorecards, audits, newsletters, downloads and resources we make available online (together, the “Website”).
2. By using the Website you agree to these terms. If you do not agree, please do not use the Website.
3. We may update these terms by publishing a new version on this page. The version published when you use the Website applies.

3. Our client services

1. The Website gives general information about our services. It is not an offer that can be accepted. Prices, packages, case studies and examples are indicative and may change.
2. No contract for services is concluded through the Website. We provide services only under a Master Service Agreement and a statement of work accepted by both parties.
3. Those documents, not these terms, govern our services. If anything on the Website conflicts with a client’s Master Service Agreement, that agreement prevails.

4. Free tools and content

1. Our free tools (such as the AEO audit and the holistic marketing scorecard) and our resource content produce general, automated results for information only. They are not professional advice for your specific circumstances.
2. Results may be incomplete or inaccurate, including where they are generated with artificial intelligence. Do not rely on them without your own independent assessment.
3. When you submit a website address or other information to a tool, you confirm that you are entitled to do so. We handle any personal information you submit as described in our Privacy Policy.
4. We may change, suspend or withdraw any tool or content at any time.

5. Acceptable use

You may not:

1. use the Website for any unlawful purpose or in a way that infringes anyone’s rights;
2. interfere with, disrupt or try to gain unauthorised access to the Website, its tools or the systems behind them;
3. upload or transmit malicious code, spam or harmful content;
4. scrape, copy or extract content or data from the Website by automated means, other than through ordinary search engine indexing; or
5. reverse engineer, resell or build a competing product from our tools or their results.

6. Intellectual property

1. The Website and its content, including text, graphics, designs, logos, tools and software, are owned by or licensed to VerdanTech and are protected by intellectual property laws.
2. You may view, download and print content for your own non-commercial use and may share links to the Website. Any other use requires our prior written permission.
3. “VerdanTech” and the VerdanTech logo are our trade marks and may not be used without our permission.

7. Third party links and platforms

The Website links to third party websites and social media platforms. We do not control them and are not responsible for their content, availability or privacy practices. Your use of them is governed by their own terms.

8. Disclaimer and limitation of liability

1. The Website and its tools are provided “as is” and “as available”. To the extent permitted by law, we give no warranty that they will be accurate, complete, uninterrupted, error-free or free of viruses.
2. To the extent permitted by law, VerdanTech is not liable for any loss or damage of any kind, whether direct, indirect or consequential, arising from your use of the Website or your reliance on its content or tool results.
3. Nothing in these terms limits any right you have, or any liability we have, that cannot lawfully be limited or excluded, including under the Consumer Protection Act 68 of 2008.

9. Indemnity

You indemnify VerdanTech against any claim, loss or cost (including reasonable legal costs) arising from your breach of these terms or your unlawful use of the Website.

10. Privacy and electronic communications

1. Our Privacy Policy explains how we handle personal information collected through the Website.
2. You agree that we may communicate with you electronically about any enquiry or request you make. We send marketing communications only where you have agreed to receive them or where the law otherwise allows. You can unsubscribe at any time.

11. Governing law and disputes

These terms are governed by the law of the Republic of South Africa. Any dispute about the Website may be brought before the High Court of South Africa, Gauteng Division, Pretoria, or any magistrates’ court with jurisdiction.

12. General

If any part of these terms is invalid, the rest remains in force. Our failure to enforce any part of these terms is not a waiver of it.
